Terms and Conditions for the Use of CODEIT Software and Systems

 

Subscription and Usage Agreement

These Terms and Conditions constitute a formal agreement between the user and CODE for Communications and Information Technology, a single-member limited liability company registered under Commercial Registration No. (1010739970), with its registered office in Riyadh, Al-Sulaimania District, Prince Sultan Bin Abdulaziz Street.

By subscribing to and/or using the services provided by CODE for Communications and Information Technology, the user hereby agrees, without limitation or condition, to abide by all the provisions herein. The user also confirms having understood the Privacy Policy and all other applicable policies published via CODEIT’s official channels.

By completing the registration steps, the user confirms that they are legally authorized and competent to enter into this agreement, and that doing so does not violate any laws or existing agreements. The user further confirms that CODEIT has never previously suspended, blocked, or disabled their access to the services and that the user is not a competitor to CODEIT’s systems or software, nor do they provide any competing product or service.

 

Definitions

  • · “CODEIT”: Refers to CODE for Communications and Information Technology, including the accounting system, the point-of-sale system, and all software products issued by, owned by, or operated by the company.
  • · User: Any natural or legal person who uses or subscribes to CODEIT’s software services; i.e., the account holder.
  • · Third Party: Any party outside the contractual relationship between CODEIT and the user, whether a member of the user’s organization, a service provider, or any other natural or legal entity.
  • · System/Software: The software, applications, and services provided by CODEIT and used or subscribed to by the user under the plans specified on the website.
  • · Regulations: All applicable laws and regulations in the Kingdom of Saudi Arabia.
  • · License: The permission granted by CODEIT to the user to use the software and services under the terms set forth in this agreement. This license is non-exclusive, non-transferable, non-sublicensable, and strictly limited to lawful use.
  • · Authorization: Where certain services require additional permissions (such as API access or access to specific data), this refers to any express authorization granted by CODEIT for such features.
  • · Account: The electronic account registered under the user’s name on the CODEIT platform, which provides access to the services based on the selected subscription plan.
  • · Services: All features, functions, updates, support, and any other services provided by CODEIT through its systems and software.
  • · Subscription: The usage plan selected by the user to access CODEIT services, which may be free (trial) or paid, and is subject to the terms and conditions herein.
  • · Data: Any information or content entered, uploaded, or shared via the CODEIT system by the user, including but not limited to financial data, sales transactions, inventory records, and administrative documentation.
  • · Content: All data, text, images, graphics, documents, software, and other material provided by CODEIT as part of the services.
  • · Trial Subscription: A limited period during which the user may use the services for free before moving to a paid subscription, in accordance with the applicable terms.
  • · Authorized User: Any other person authorized to use the primary user account with specific permissions defined by the account holder. All provisions applicable to the user also apply to the authorized user.
  • · Updates: Any modifications, enhancements, or upgrades made to CODEIT services or software, which may include bug fixes, new features, or security improvements.
  • · Technical Support: Services provided by CODEIT to help users resolve technical issues, including troubleshooting and user assistance.
  • · Fees: Any financial amounts payable by the user for subscriptions or additional services, as outlined in CODEIT’s payment policy.
  • · Account Suspension: The action taken by CODEIT to restrict or deactivate a user’s access to the services due to violation of terms or non-payment.

 

Obtaining a License to Use CODEIT

The user is granted a non-exclusive, non-transferable, non-sublicensable, non-revocable license by CODEIT, solely for the purpose of utilizing the services and features of the software in accordance with the selected subscription. Accordingly, the user is strictly prohibited from performing any of the following:

  • · Making any alteration, modification, deletion, or other change to any copyright or intellectual property rights.
  • · Distributing, transferring, or making the services available for use in a manner not specified in this agreement, or for purposes other than those intended by CODEIT.
  • · Claiming to grant access to the services or allowing unauthorized third-party access.
  • · Modifying, decompiling, reverse engineering, translating, summarizing, or creating derivative works from CODEIT systems, including attempting to access source code, internal structures, multimedia elements (images, audio, video), data, or other system-level content or assets, including those from third-party providers affiliated with CODEIT.
  • · Sharing login credentials (username, password, etc.) with any third party to access CODEIT services.
  • · Taking any action that may negatively impact the functionality, performance, or activities conducted through the CODEIT services.

Use of CODEIT Services

 

By using or subscribing to CODEIT’s services, the user acknowledges and agrees to the following obligations:

  • · To comply with all applicable laws and regulations of the Kingdom of Saudi Arabia.
  • · To provide accurate and complete information without impersonation or misleading identity, and to submit any documentation CODEIT deems necessary for verification.
  • · To use the system lawfully and solely for its intended purpose without causing harm to others.
  • · To review and comply with notifications or updates issued by CODEIT.
  • · To regularly update user data and information to ensure accuracy and correctness.
  • · To accurately input the establishment’s data and tax certificate details.
  • · To maintain the confidentiality and security of login credentials or any authentication means that provide access to the account.
  • · Not to use CODEIT for suspicious, illegal, or fraudulent purposes.
  • · Not to perform actions that may disrupt or damage the operation of CODEIT.
  • · Not to misuse CODEIT or engage in any activity that could hinder its operation.

Modifications to CODEIT Terms

  • · CODEIT reserves the right, at its sole discretion and at any time, to amend, replace, suspend, or terminate any of the provisions in these terms by posting a notice on the website or sending a notification through the system, application, email, or the user’s registered address.
  • · CODEIT may, at its sole discretion and without prior notice, discontinue the publication of its services and may replace them with other similar offerings.

 

Login Information Privacy and Security

The user is solely responsible for the confidentiality and usage of their account. They are fully liable for keeping their login information secure at all times. If a third party uses the user’s login information to access the services, CODEIT will treat such access as authorized by the user.

The user agrees to immediately notify CODEIT upon becoming aware of any unauthorized access or suspected loss, theft, or misuse of login information, IP address, or other access mechanisms.

 

Third-Party Interactions

While using the website and services, the user may be redirected to third-party websites for communication, purchases, or promotional offers. These third-party links fall outside CODEIT’s control and responsibility.

The user alone bears full responsibility for reviewing the terms, conditions, and privacy policies of such websites.

CODEIT disclaims any responsibility for the content or activity of external websites and shall not be held liable under any circumstances.

Term of Agreement

  • · The agreement between the user and CODEIT remains in effect for the duration of the selected subscription plan.
  • · CODEIT reserves the right to suspend or terminate the agreement at any time and without prior notice if the user violates any provision of the terms, conditions, or privacy policy, or misuses the service.
  • · CODEIT also reserves the right to suspend or terminate the agreement without notice if the user fails to pay due fees within the fifteen-day grace period.
  • · The user may terminate the agreement at any time by closing their account. In such cases, the user acknowledges that no refunds are due.

 

Payment Terms

  • · CODEIT may update pricing at any time. The user is responsible for monitoring and staying informed of current service prices as published.
  • · Upon activation of services, the user must pay the applicable fees using the specified payment methods.
  • · The user bears full responsibility for timely payment and acknowledges that all payments are non-refundable.
  • · By accepting these terms, the user agrees that access to stored data is conditional upon an active, paid subscription. Failure to pay will result in restricted access to the services and stored data.
  • · If the user fails to pay the subscription fee, CODEIT grants a maximum grace period of fifteen (15) days before access is suspended.

 

Legal Liability

  • · All information, recommendations, and services provided through the website or platform are for general informational purposes only and do not constitute advice.
  • · While CODEIT strives to maintain accurate and up-to-date content, it does not guarantee the absence of errors, defects, malware, or viruses, nor the completeness or accuracy of the website and services.

  • · CODEIT will not share user data with third parties without the user’s prior express consent, except as required by applicable law.
  • · CODEIT may publish aggregated and anonymized studies or statistics based on user sales data for marketing purposes.

 

Warranty and Disclaimer

CODEIT warrants that its system will function as described in its official documentation. Except as explicitly stated, CODEIT provides no express or implied warranties regarding the system, including but not limited to:

  • · Fitness for a particular purpose
  • · Merchantability
  • · Non-infringement

 

Scope of Liability

  • · CODEIT shall not be liable to the user or any third party for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the system. This includes (but is not limited to) service interruptions, unauthorized access to communications or data, or the conduct of third parties using the services.
  • · CODEIT is not responsible for claims related to third-party products or services, including hardware, software, or external platforms.
  • · CODEIT provides no endorsement or guarantees for any third-party hardware or software.
  • · CODEIT disclaims, to the fullest extent permitted by law, all implied warranties, including (without limitation) warranties of fitness for specific purposes, markets, or jurisdictions.
  • · CODEIT does not guarantee the accuracy, reliability, or results from using the services.
  • · In no event shall CODEIT, its affiliates, agents, licensors, or partners be liable for any direct, special, incidental, or consequential damages resulting from access to, use of, or reliance on the services.
  • · The maximum cumulative liability of CODEIT under these terms shall be limited to the total subscription payments made by the user during the previous twelve (12) months.

 

Indemnification

By agreeing to these terms and using the services, the user agrees to defend, indemnify, and hold harmless CODEIT, its affiliated entities, authorized representatives, directors, officers, users, employees, attorneys, and agents from and against any claims, costs, damages, losses, liabilities, and expenses (including reasonable legal fees and expenses) arising from or related to any of the following:

  • · The user’s breach or violation of any provision of these terms.
  • · The user’s breach or violation of any applicable law, regulation, or ordinance, whether or not expressly mentioned herein.
  • · The user’s infringement of the rights of any third party, including service providers governed by CODEIT’s system.
  • · The user’s misuse of CODEIT’s services.

 

Support and Maintenance

CODEIT undertakes to provide technical support and maintenance for the system throughout the subscription period. This includes software updates, bug fixes, and assistance with troubleshooting.

The user will be notified in advance of any potential service interruptions during the maintenance period. The user must immediately report any issues to ensure timely resolution.

If it is determined that the issue was caused by user negligence and/or interference, the user shall bear the cost of repair.

Point-of-sale (POS) hardware is excluded from CODEIT’s support and maintenance responsibilities and falls under the responsibility of the suppliers referenced in Annex A, in accordance with their own terms and policies.

 

Intellectual Property Rights

All intellectual and proprietary rights related to these services and associated materials—including any content provided or embedded—are owned by CODEIT.

The user shall not reproduce the services, or allow any third party to use or reproduce the services, trademarks, or any other trade names that appear in connection with the services, for any reason.

 


Disputes and Governing Law

In the event of a dispute between the parties regarding these terms or any previous version thereof, either party must provide written notice detailing the nature of the dispute.

Within ten (10) business days of receiving such notice, senior management from both parties must meet to attempt to resolve the dispute amicably.

If the dispute is not resolved within twenty (20) business days, either party may refer the matter to mediation.

If mediation fails to resolve the dispute within another twenty (20) days, the dispute shall be submitted to arbitration in accordance with the Saudi Arbitration Law, with the arbitration seated in Riyadh, Kingdom of Saudi Arabia.

 

Notifications and Notices

CODEIT may deliver notices through any available means, including:

  • · In-app or platform notifications
  • · General service announcements
  • · Email
  • · Physical mail to the user’s registered contact details

 

General Provisions

  • · If any provision of these terms is deemed invalid, the remaining provisions shall remain in full force and effect.
  • · CODEIT reserves the right to retain the user’s personal data in its database for a period of five (5) years from the date of cancellation, whether initiated by the user or by CODEIT.
  • · CODEIT reserves the right to refuse service or system access at its sole discretion and without the need to provide reasons.
  • · CODEIT also reserves the right, at its absolute discretion, to reject or cancel any registration related to its system, without notice or justification.
  • · The user is solely responsible for any penalties or consequences resulting from failure to provide correct and complete establishment and tax certificate information, or from submitting incorrect or false data.
  • · CODEIT has the right to use and display the user’s trade name or trademark in its client portfolio during and after the agreement period, for an indefinite duration.
  • · First-time users may access a 14-day free trial and enjoy all system features, subject to these terms and conditions.
  • · By agreeing to these terms, the user acknowledges that CODEIT’s data retention obligation is limited to twenty-one (21) days—whether for trial or paid subscriptions—and that CODEIT has the right thereafter to permanently delete such data from its servers in accordance with applicable regulations.
  • · Warranty and maintenance for POS hardware are the sole responsibility of the suppliers as per Annex A, in accordance with their terms and conditions. CODEIT bears no responsibility in this regard.
  • · If the user receives a POS device—whether as part of a subscription bundle or via a separate purchase—CODEIT allows the user to request a replacement in case of manufacturing defects, provided the request is made within three (3) days of receipt. After this period, the responsibility lies with the supplier as per Annex A and their applicable terms and conditions.
